Agreement to Terms
By accessing or using any Nirog service, website, or platform operated by Nirog Tech Pvt Ltd (“Nirog,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
These Terms apply to all visitors, healthcare providers, partner hospitals, and any other users who access or use our services.
Description of Services
Nirog provides a clinical communication and patient education platform designed for healthcare settings. Our services include:
- AI-assisted post-discharge patient education delivered via SMS
- Clinical workflow tools for hospital discharge planning
- Analytics and reporting dashboards for healthcare providers
- Integrations with electronic health record (EHR) systems
Nirog is operated by Nirog Tech Pvt Ltd and is intended exclusively for use by licensed healthcare organizations and their authorized personnel.
Eligibility and Account Registration
Our platform is intended for use by healthcare organizations, including hospitals, clinics, and health systems. By creating an account or using our services, you represent that:
- You are authorized to enter into these Terms on behalf of your organization
- Your organization is a licensed healthcare provider or operates under appropriate regulatory compliance
- All information you provide during registration is accurate and current
- You will keep your account credentials confidential and notify us immediately of any unauthorized access
Healthcare Data and Regulatory Alignment (India)
Nirog processes clinically sensitive operational data strictly in alignment with statutes applicable inside India—including the Digital Personal Data Protection Act, 2023 (“DPDP Act”), supplementary rules issued under the Information Technology framework, directives from the Telecom Regulatory Authority of India (“TRAI”) where telecom channels are utilised, alongside sector norms for licensed healthcare establishments.
Data processing agreements
Hospitals, clinics, and health systems exchanging identifiable patient narratives or equivalent clinical artefacts with our platform must first execute commercially reasonable written agreements referencing applicable Indian mandates. Operational use without those executed agreements covering patient-facing programmes is forbidden.
Data safeguards
We maintain layered administrative, physical, and technical controls—encryption-in-transit, role-based access, auditing, penetration testing—to evidence duty-of-care irrespective of tooling geography.
Permitted use
You will only route personal or clinical anecdotes through our services when lawfully permissible, authorised by your institution's oversight policies, and supported by granular patient consent obtained by the enrolling facility.
SMS Messaging Program
Nirog facilitates recurring transactional SMS workflows on behalf of partner hospitals enrolled in compliant discharge journeys. Participation is contingent on adherence to prevailing Indian telecom and privacy guidance.
Patient consent
Partner hospitals procure demonstrable affirmative consent—including purpose, cadence, and channel—before enrolling numbers. Messaging may never gate clinical access or emergency services.
Message frequency
Patients receive templated nurture communications for up to 30 calendar days immediately following authorised discharge unless the sponsoring hospital configures a narrower window. Messaging density may approximate fourteen SMS messages per enrolment cohort but may flex with programme design.
Opt-out
Patients may revoke consent utilising the STOP keyword—or equivalent instructions—printed within each consent artefact or SMS footer. Verified opt-outs propagate to our aggregator within commercially reasonable SLA windows.
No secondary marketing resale
Captured mobile artefacts, behavioural telemetry, or keyword replies are barred from resale, brokered enrichment, or cross-promotional campaigns unrelated to the enrolled discharge education programme.
Acceptable Use
You agree not to use our services to:
- Violate any applicable law, regulation, or professional standard
- Move identifiable operational data outside executed Indian-market processing agreements without written approval
- Enroll patients in SMS messaging without proper written consent
- Reverse engineer, decompile, or attempt to derive the source code of our platform
- Probe, scan, or test the vulnerability of our systems
- Interfere with or disrupt the integrity or performance of our services
- Access our services using automated means without prior written authorization
Intellectual Property
All content, features, and functionality of the Nirog platform — including software, algorithms, text, graphics, and logos — are the exclusive property of Nirog Tech Pvt Ltd and are protected by applicable intellectual property laws.
Your use of our services does not grant you any ownership interest or license beyond what is expressly stated in your service agreement with us.
Confidentiality
Each party agrees to keep confidential all non-public information disclosed by the other party in connection with these Terms or any service agreement, and to use such information only for the purposes of performing obligations under these Terms.
This confidentiality obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law or court order.
Disclaimers
Nirog's platform is designed to support — not replace — clinical judgment. Our services provide informational and educational content to patients and workflow tools to healthcare providers. Nothing in our platform constitutes medical advice, diagnosis, or treatment recommendations.
Our services are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted availability.
Limitation of Liability
To the fullest extent permitted by law, Nirog and Nirog Tech Pvt Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services.
Our total liability to you for any claim arising from these Terms or your use of our services shall not exceed the amounts paid by you to Nirog in the three months preceding the claim.
Termination
Either party may terminate access to the services with written notice. Nirog may suspend or terminate your access immediately if you breach these Terms, fail to maintain requisite data-protection instruments, or engage in any conduct that poses a risk to the security or integrity of our platform or patient data.
Upon termination, provisions that by their nature should survive (including confidentiality, privacy-aligned duties, and limitation of liability) will continue to apply.
Governing Law
These Terms shall be construed under the substantive laws applicable within India—with particular reference to the DPDP Act and complementary Union or State statutes—without regard to conflict-of-law doctrines that might otherwise select foreign forums. Venue for exclusive jurisdiction shall ordinarily rest with competent courts headquartered in Karnataka, India, unless otherwise mutually stipulated in bespoke enterprise attachments.
Changes to These Terms
We may update these Terms of Service from time to time to reflect changes in our services, legal requirements, or business practices. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Continued use of our services after such changes constitutes your acceptance of the revised Terms.
